Kirby called the meeting to order at 7:00 am. A quorum was present.

1. Minutes: The minutes of the previous meeting were approved as submitted. Motion Daugherty, second Dubin, unanimous.

3. New Business:
   
   a. Management Report – Quality Improvement, Corporate Compliance, HIPAA
   
   Michele Green reviewed the quarterly QI indicators and findings. Brief report on HIPAA policies and procedures; April 14 deadline met, privacy notices and business associate agreements out. Extended discussion Quality Indicators and Quality Measures, culminating in a review of Q.M.s for three area homes.
   
   b. Management Report – Operations
   
   Scavotto reviewed operations for March and April. Census remains a continuing concern. Recent activity at Kish Hospital has picked up. Intergovernmental Transfer is likely to be approved by end of State’s fiscal year, June 30, and will represent a significant flow of funds into County nursing homes in Illinois. The associated revenue increase will be retroactive to October 1, 2002.

Discussion moved to relationships and voluntary contributions from townships. Contributions are declining and DCRNC needs to position itself for withdrawal of township support. Future discussions warranted.

AFSCME agreement was reviewed and ratified by the Board. Scavotto to sign on behalf of Operating Board.
