CALL TO ORDER

The DeKalb County Board of Health meeting of November 9, 2012, was called to order at 7:34 am by Kevin Buick, JD, President.

I.  EXECUTIVE SESSION

At 7:34 am, Dr. Feldmann moved, seconded by Mr. Latham, to enter into Executive Session for the purpose of discussing Home Care Business Matters under Subsection Number 6 of Section 2 (c) of the Open Meetings Act. Motion carried.

On a roll call vote, those voting yes were Kevin Buick, Paul Stoddard, Dr. Feldmann, Karen Hagan, Christina Jones, Roger Faivre, Andrea Mitchell, Todd Latham, and Dr. Diemer.

At 7:51 am, Kevin Buick stated that the Board of Health is now in Open Session.

Roger Faivre moved to ratify authorization for Mrs. Lux to sign and execute the Asset Purchase Agreement in final form, by and among KishHealth System Home Care as Buyer and DeKalb County Health Department as Seller, when it is presented, with the specific purchase price, as discussed in Home Care Business Matters discussed under Subsection 6 of Section 2 (c) of the Open Meetings Act. Mr. Latham seconded. 
In a roll call vote, those voting “yes” were Mr. Buick, Ms. Hagen, Mr. Stoddard, Ms. Jones, Mr. Latham, Dr. Feldmann, Mr. Faivre, Dr. Diemer, Dr. Duez and Ms. Mitchell.  Motion carried.

Adjournment

On a motion by Mr. Latham, seconded by Ms. Hagen, the Board of Health adjourned at 8:00 am. Motion carried.
